# Launch in the U.S.

> Employer health insurance. Why is everyone incorporating in Delaware? None of it works the way it does at home. We set it all up and run it, so you can focus on customers.

## Make the U.S. your biggest market, not your biggest headache

## What is included

### What a U.S. launch actually takes

1. **Right corporate structure** — Options usually include flip to a Delaware parent or open a U.S. subsidiary. We work it through with your counsel.
2. **U.S. entity** — Usually a Delaware C-corp. Formed by partner counsel we introduce, or your own.
3. **EIN** — The U.S. company’s tax ID. We file for it.
4. **U.S. bank account** — ACH requires a U.S. bank account. Harder without a U.S. address or SSN. We introduce banks that open these every day.
5. **Payroll for first U.S. hires** — Through an employer of record or your existing payroll provider. We set up whichever fits.
6. **State registrations** — Withholding and unemployment in every state you hire. We register as you go.
7. **Intercompany agreement** — Documenting for tax authorities how the money flows between your companies. We help draft with counsel and a transfer pricing specialist.
8. **Form 5472** — Required every year for foreign-owned U.S. corporations. Missing it carries a $25,000 penalty. We file it.
9. **Home-country reporting** — E.g. T1134 and T106 for Canadian parents. We file those too.
10. **Two sets of books that agree** — In USD and your home currency. We keep them in step every month.
